A. Purpose
   -------
Egypt-net is an open forum. The purpose of Egypt-net is to foster:

o Free exchange of information about Egypt, its cultural attributes and the similar concerns of Egyptians or those interested in Egypt,  in hope that this will, in the long run, benefit the members of the forum and Egypt.

o Announcements of any news that may be of importance or interest to the members of the forum or Egyptians at large.

o Exchange of messages that would help members of the forum to improve or that will act as an incentive for more achievements such as publicizing the accomplishments of various netters or of any Egyptian at large.

o Topics of mutual interest to the members of Egypt-net.

The central and overriding purpose of this Charter  is to foster, respect and cherish freedom of expression, and to facilitate,  preserve and protect an open environment, free of harassment and intimidation, in which members may exercise this freedom and express a  diversity of opinion that is to be both welcomed and respected. Egypt-net's executive board and members are duty bound to abide by and preserve the spirit of Egypt-net's purpose.

Egypt-net is managed by a 5-member executive board, 2 Maintainers and 3
Monitors.

B. Membership
   ----------
Egypt-net  membership  is  open to all individuals without regard to race, color, religion,  gender, age,  national origin, political  affiliation, or personal beliefs. Groups or organizations wishing to join Egypt-net must delegate appointed representative(s).

To promote friendly atmosphere, it is not mandatory but highly recommended for new member to briefly introduce themselves to current members.

C. Executive Board
---------------
Egypt-net's executive board consists of Maintainers (List keepers) and
Monitors(Observers).

o The Maintainers:
The term of the maintainer is open ended. Should the maintainer decide to step down, he/she nominates a successor which must be approved by all the votes of the monitors.

responsibilities include:
- Handling service requests.
- Interacting with the current Host (e.groups.com).
- Deciding on the appropriate future host should that becomes an issue.
- Choosing additional Maintainers should the need comes.
- Execution of all charter points,ensuring that monitors' decisions are        to be carried out according to the charter.
- Handle and resolve any disputes between monitors among themselves or
  between monitors and any members.
- Oversee all appropriate steps to objective and fair process to choose the monitors.
- Accommodate all members' request to amend the current charter to ensure that charter is dynamically adapting to members' needs.

o The Monitors:
- Monitors are either volunteers (self-nomination) or nominated by members for the post.  Selection will be done via Vote by all current members to choose from available list of candidates.

- Selection of monitors is by plurality of vote, provided a quorum is          established in such vote. The maintainer shall submit to the body of members the list of candidates and each member should vote aye or nay. If the list contains less than 5 members or the number of monitors, the monitors are considered won by acclamation.

- The term of the monitor is 12 calendar months starting the firs of the month following the ratification of this charter. A monitor may serve more than one successive term provided that his or her name is on the ballot for the following term.

- Should a monitor choose to step down or recalled by a vote from the members, the maintainer(s) should appoint a member to occupy such vacant position with the approval of the other monitors, should be a tie vote among the monitors, the maintainer should cast the tie breaker vote. The new Monitor shall serve until the end of the current term.

Responsibilities include:
- Oversee the quality of posts on Egypt-net,
- Ensure that it remains an open forum conducive to the free exchange of ideas, within an environment devoid of intimidation and     vilification.
- Unanimously, agree on decisions concerning offensive messages and the
  appropriate punishment to offenders.
- Should the monitors' decision is not unanimous, they have to resolve the issue with maintainers

Other than the responsibilities outlined above, the Maintainer(s) and
Monitor(s)of Egypt-net do not enjoy any special privileges or powers. 
They are not to be held responsible  or liable for the views, opinions, or conduct of any Egypt-net member.

D. Code of Conduct
---------------
Members of Egypt-net SHALL NOT:

1. Post articles that will constitute degrading or insulting remarks to any member's, or group of members',  beliefs,  creed, race, color, religion, gender, age, national origin or political affiliation(s).

2. Harass, blackmail, threaten, or inflict any  harm  either directly       or indirectly to any  other member or group of members for  their opinions or views expressed in this forum.

3. Interfere with the monitoring of  Egypt-net's traffic by posting    messages from  forged accounts, or forwarding messages on behalf       of members under probation or individuals whose memberships have        been revoked.

The Monitors of Egypt-net shall see to it that the  above stipulations be enforced using the following mechanisms.

a. Foul language and direct swear will result in immediate dismissal
from Egypt-net.

b. If  a member posts  an article that is considered inappropriate
by the Monitors, then the Monitors would issue a public warning informing the member that he/she has violated Egypt-net's Code of Conduct.

c. Should  a member who has been publicly warned before post an article
that necessitates the issuance of another public warning, he/she would be dismissed from Egypt-Net.

E.Miscellaneous

1. Voting Procedures
 
a. A quorum of a vote is simple majority (50% of membership plus one). The maintainer should establish the current number of the total body of
members excluding the members whose mail bounce. The official number for vote related issues is the number of members in the month
preceding the vote.

b. A simple majority is 50% plus one of the votes cast in a ballot, a super majority is two thirds the votes cast in a ballot

2. Recall of Monitors
a. The members of the Egypt Net have the right to remove any of the monitors before the expiration of his or her current term

b. The procedure for the removal of office is as follows:
   i. A petition should be signed by at least 20% of the members should be submitted to the maintainer asking for the removal of the monitor
and the justification for such removal.

   ii. The monitor shall validate such claims and may choose to proceed with the procedure for the removal od such monitor

   iii. If super majority of the votes calls for the removal of a monitor, then such monitor is removed from office and the maintainer appoint a
replacement (Article III.2.C.i)

3. Amendments to the Charter
   a. The members of the Egypt Net have the right to amend the current charter. These amendments may include and not limited to substitution,
deletion, or addition of articles.

   b. The procedure for such amendments is as follows:
       i. A petition should be signed by at least 20% of the members should be submitted to the maintainer specifying the amendment requested.
       ii. The monitor shall appoint a committee of  5 members who submitted the request for amendment and two monitors to finalize the wording of proposed amendment and submit it to the maintainer. Upon submission of the proposed amendment the committee is automatically dissolved.

     iii. The Maintainer shall put the amendment for a ballot for seven (7) days. If super majority ratifies the amendment, it is added to the charter and takes
effect the first of the month following the ratification vote
